FCPA Certification for Deputy Partner Program Participants

This Deputy FCPA Certification ("Certification") forms part of, and will be relied upon by Deputy in assessing, your application to participate in the Deputy Partner Program.  

In this document, when we say “you” or “your” or “Applicant” we mean you, or, if you are making this Certification not as an individual but on behalf of an entity, then we mean that entity. If you are making this Certification on behalf of an entity, you represent that you have the legal authority to do so.

By applying and registering as a Deputy Partner, you hereby certify, the following:

1. The Applicant did not come to Deputy's attention by (e.g., recommended by) a government official or any individual or entity associated with a government official.

2. The Applicant is experienced and qualified in its business and professional relationships that relate to the Applicant’s ability to assist Deputy.

3. The Applicant is not part of a government, nor is any portion of the Applicant owned or controlled by a government or any individual government officials.

4. Neither the Applicant nor any of the Applicant’s subsidiaries, affiliates, or any officer, director, or owner of any of the Applicant’s affiliates or subsidiaries:

(a) have been a defendant in any civil litigation, arbitrations, or criminal proceedings in the last five years related to anti-corruption, anti-bribery, money laundering, embezzlement, fraud, or other similar business crimes; and

(b) have been the subject of a criminal investigation (formally or informally), accused, charged, or prosecuted related to anti-corruption, anti-bribery, money laundering, embezzlement, fraud, or other similar business crimes.


While working with or on behalf of Deputy, the Applicant will be expected to comply with the U.S. Foreign Corrupt Practices Act of 1977, as amended, U.K. Bribery Act of 2010, and similarly applicable anti-corruption and anti-bribery laws (together "Anti-Corruption Laws"). The Applicant certifies that it will be able to satisfactorily perform its responsibilities under any agreement with Deputy and at all times act in a manner that is consistent with Anti-Corruption Laws.
